Costin Botnărenco

With nearly a decade of experience in corporate and transactional work, Costin advises local and multinational companies, investment funds and high-growth companies on complex M&A transactions and commercial matters, leading domestic and cross-border deals from due diligence and structuring through to negotiation and closing. His practice spans across a wide range of industries, including real estate, technology, retail and investment sectors. Beyond core M&A work, Costin advises on complex corporate matters, group reorganisations, joint ventures, investment structuring, commercial leasing and a wide range of commercial issues, helping clients design efficient, commercially focused corporate structures.

Representative work:

●Assisting a leading real estate development and investment company in Central and Eastern Europe and a prominent player on the Romanian market, with the acquisition from a real estate investment company listed on the Johannesburg stock exchange of six retails parks and two extensions located in secondary cities in Romania, with an aggregate GLA of approx. 125,500 sq. m, in a transaction of approx. EUR 282M.

●Assisting a Romanian real estate investment company, listed on the stock exchange, with the acquisition of a premium office building located near Bucharest city centre, in a transaction of approx. EUR 18M.

●Assisting a real estate investment company with the sale of shares in a company owning and operating a large real estate asset comprised of office spaces and warehouses, located in a key development area in Pipera, in a transaction of approx. EUR 13M.

●Assisting a Czech investment fund in the due diligence and acquisition of a controlling interest in a Romanian company primarily focused on providing digital solutions for the education sector in a transaction structured to include both a share transfer component, as well as an investment consisting of an equity subscription by a minority investor of the Romanian company into a Czech holding company.

●Assisting a German investment fund in the cross-border acquisition of a group of companies specialised in producing sterile medical equipment. Costin coordinated the due diligence process of the Romanian target, the local transaction and the negotiations.

●Assisting the investment division of a major Romanian bank with private investment ventures in Romanian software development companies, respectively coordinating the due diligence processes, preparing and negotiating the investment agreements and the shareholders’ agreements.
