Squeeze-out of Dormant Shareholders

Squeeze-out of dormant shareholders is a common issue for Romanian companies, generating burdensome consequences, but currently without legal solutions regulated by the applicable laws. In order to avoid a scenario where inactive shareholders refuse to withdraw from the company and allow the others to continue the business, the founders should consider conventional squeeze-out rules regulating in the articles of association of the newly incorporated company.
